3月2日消息，特朗普传媒科技集团（Trump Media & Technology Group）正洽谈将其 Truth Social 平台分拆为独立上市公司。计划新成立的实体 SpinCo 将与特殊目的收购公司 Texas Ventures Acquisition III 合并，股份将分配给现有股东。公司表示谈判仍在进行中，尚未达成最终协议。
此次分拆发生在特朗普传媒去年12月与 TAE Technologies 达成合并协议之后，该协议估值超过60亿美元，旨在开发公用事业规模聚变发电厂，为人工智能数据中心提供电力。分拆将使媒体业务与能源业务分离，更加专注各自发展方向。
财务数据显示，特朗普传媒2025年净亏损达7.123亿美元，高于2024年的4.009亿美元。亏损扩大主要受加密货币持仓（包括比特币和Cronos）未实现亏损影响，而净销售额基本持平，仅小幅增长至368万美元。尽管如此，截至2025年底，公司金融资产约为25亿美元，是2024年底的三倍多。
在加密货币领域，特朗普传媒通过金融科技品牌 Truth.Fi 持有超过11,500枚比特币，并申请多只加密货币ETF，包括比特币、以太坊及支持质押功能的 Cronos 基金。Cronos ETF 与 Trump Media 和 Yorkville Acquisition 合作紧密。多份ETF申请已提交美国监管机构，但尚未获批。
能源业务方面，TAE Technologies 已筹集超过10亿美元资金，专注于减少放射性废物的先进聚变技术。与特朗普传媒合并后，将创建一个以聚变能源为核心的上市公司，为投资者提供媒体业务之外的新选择。
