Ningbo Energy: Wholly owned subsidiary plans to acquire four project companies

Jing Daily AI Express: Ningbo Energy (SH 600982, closing price: 5.52 yuan) released an announcement on the evening of April 1, stating that the company’s wholly owned subsidiary, Ningbo Langchen New Energy Co., Ltd. (hereinafter referred to as “Langchen New Energy”), will acquire 100% of the equity interests and 100% of the shareholder’s creditor’s rights held by Ningbo Jinlang Smart Energy Co., Ltd. (abbreviated as “Jinlang Smart Energy”) and its wholly owned subsidiary Zhanjiang Jinmian New Energy Co., Ltd. (abbreviated as “Jinmian New Energy”) for a consideration of 29.6135 million yuan, encompassing 4 project companies.

The transaction does not constitute a related-party transaction. The transaction does not constitute a major asset reorganization. The Company’s external investment matter falls within the approval authority of the Company’s management, and does not require submission to the board of directors or the shareholders’ meeting for consideration.
